채권양도계약서 Receivables Assignment Agreement 본 채권양도계약(이하 “본 계약”)은2016년4월X일자로 다음 당사자들 사이에서 체결되었다. This Receivables Assignment Agreement(this “Agreement”) is entered into as of April X, 2016, by and between: 양도인 주소 Seller: (the “Seller”) 양수인 Purchaser: (the “Purchaser”) 전문 Recitals 양도인은 본 계약에서 정한 조건에 따라 제1조에서 정한 채권을 양수인에게 양도하고자 하며, 양수인은 양도인으로부터 이를 양수하고자 한다(이하 이를 “본건거래”). The Seller hereby desires to assign the Receivables defined in Article 1 below to the Purchaser and the Purchaser hereby desires to purchase the Receivables on the terms and conditions set forth in this Agreement (the “Transaction”). 이에 당사자들은 아래와 같이 합의한다. NOW, THEREFORE, it is agreed as follows: 제1조 [채권의양도] Article 1 [Assignment of Receivables] 본 계약에 따라 양도가 이루어 질 채권은(이하 “본건양도채권”)은 다음과 같다. The receivables to be assigned under this Agreement (the “Receivables to be Assigned”) shall be described as follows: 본건양도채권: 양도인이 본 계약 체결일 현재 XXXX(이하 “제3채무자”)에 대하여 가지는 물품대금 채권금 XXX원 Receivables to be Assigned: KRW XXX as the receivables for the price of goods that the Seller has against XXXX (the “Third Party Debtor”) as of the date of this Agreement 제2조[양도대금] Article 2 [Purchase Price] 양수인은 양도인으로부터 본 건 양도채권을 금XXX원(이하 “양도대금”)에 양수하기로 한다. The Purchaser shall purchase the Receivables to be Assigned from the Seller at KRW XXX(the “Purchase Price”). 제3조 [거래의종결] Article 3 [Closing of Transaction] ① 당사자들은 2016. 4. X.(이하 “거래종결일”)에 본 건 거래를 종결하기로 한다. The closing of the Transaction shall take place on April2, 2016 (the “Closing Date”). ② 거래 종결 일에 양도인은 제3채무자에게 별첨 1과 같은 양식의 채권양도 통지를 한다. On the Closing Date, the Seller shall notify the Assignment of Receivables in the form attached hereto as Exhibit 1 to the Third Party Debtor. ③ 거래 종결 일에 양수인은 양도인이 제2항의 의무를 이행함과 동시에 양도대금을 양도인에게 지급하기로 한다. 다만, 양수인은 양도대금의 지급에 갈음하여 양수인이 양도인에 대하여 가지는 외상매출채권을 그 대등액의 범위 내에서 전액 상계하기로 한다. On the Closing Date, the Purchaser shall pay to the Seller the Purchase Price concurrently with the performance of the Seller of its obligations set forth in Paragraph 2 above; provided, however, that the Purchaser shall set off the full amount of the Purchase Price against the accounts receivables that the Purchaser has against the Seller in lieu of paying the Purchase Price within the scope of the equivalent amount.
